Global Digital Finance – Membership Terms & Conditions

Introduction

This Agreement sets forth the terms and conditions (“T&Cs”) of membership to Global Digital Finance Limited (“GDF”), an organisation registered in England & Wales with the registration number 11246402 and the registered address at 128 City Road, London, EC1V 2NX, UK for; The organisation agreeing to these terms and conditions (“the Member”) by payment of annual membership dues; Both of whom shall be referred to collectively herein as “the Parties”.

1. Membership
1.1 In order to apply for membership, the member must submit a completed member application for approval by the GDF Executive. Whilst GDF is an open and inclusive organisation, GDF reserves the right to refuse to grant membership to any organisation where it may not be in the best interests of the member community, at its absolute discretion.
1.2 The signatory is agreeing to these T&Cs as a properly authorised representative of the Member;
1.3 For the avoidance of doubt, the membership is only to organisations as a whole and not to specific individuals within an organisation;
1.4 The Member will identify Nominated and Deputy Representatives across Marketing, Policy, Technical and Innovation Programmes, and Finance Representatives, as well as a lead key contact for GDF.
1.5 GDF is an industry body and membership organisation and membership of the organisation under these T&Cs does not confer legal membership under the Companies Act 2006 or the Articles of Association of the Company limited by guarantee.
1.6 The membership is a rolling 12-month agreement starting from the membership Fees invoice date. The membership will automatically renew upon the anniversary of the last invoice subject to the payment of Fees for the following year.

2. Member Benefits
2.1 An outline of membership benefits is provided in Appendix A.
2.2 The membership benefits due to the Member under these T&Cs are based on the benefits outlined in Appendix A.

3. Fees
3.1 On approval of your membership, GDF will issue an invoice for the membership fee.
3.2 The fees associated with the membership are provided in Appendix A.
3.3 The membership fees due by the Member under these T&Cs are based on the selection and outlined in Appendix A.
3.4 The member will make a one-off payment for an annual membership subscription (new membership or renewal), by bank transfer or card payment.
3.5 GDF reserves the right to increase the membership fees for the following 12-months at any time at our absolute discretion.
3.6 Refunds will not be given for memberships cancelled during the membership year or otherwise.

4. Termination
4.1 GDF may terminate the membership immediately by providing written notice to the member:
4.1.1 if the member commits a breach of any term or conditions;
4.1.2 if the member acts, or fails to act, in such a way as to bring GDF or any of its members into disrepute;
4.1.3 if the member becomes unable to pay its debts within the meaning of section 123 of the Insolvency Act 1986 or are subject to or initiate any other form of insolvency proceedings provided for in the Insolvency Act 1986 or any similar or analogous legislation whether English or otherwise;
4.1.4 if GDF chooses to exercise its right to refuse renewal of membership, on expiry of the membership term.
4.2 The member may terminate the membership if the Member informs GDF of the intention to not renew their membership, but the Fees are not paid within 30 calendar days from the end of your membership year, your membership will be suspended until such payment is made.
4.3 The member must inform GDF of the intention not to renew the membership for the following year , Eur90 days in advance of your membership end date. If a response to a renewal notice is not received, and no Fees are paid by the due date, the membership will be cancelled.

5. Jurisdiction
5.1 This Agreement and any dispute or claim arising out of or in connection with it shall be governed by and construed in accordance with English law. The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Agreement.

6. General
6.1 Nothing in this Agreement establishes neither partnership nor joint venture between the parties, nor constitutes any party as the agent of the other, nor authorises any party to make or enter into any commitments for or on behalf of other party.
6.2 If any clause of this Agreement (or part of any clause) is found to be invalid, unenforceable or illegal by a court or administrative body of competent jurisdiction, the other provisions shall remain in force. If any invalid, unenforceable or illegal provision would be valid, enforceable or legal if some part of it were deleted, the provision shall apply with the minimum modification necessary to make it legal, valid and enforceable.
